1. INTRODUCTION

These Terms and Conditions ("Terms") govern your membership with My Daily Leadership Ltd ("MDL," "we," "us," or "our"), a company incorporated in England and Wales. By joining the membership and accepting these Terms, you ("Member") enter into a binding agreement with MDL. Please read these Terms carefully before joining. IF YOU DO NOT AGREE TO THESE TERMS, YOU SHOULD NOT PROCEED WITH YOUR MEMBERSHIP.

 

2. THE MDL MEMBERSHIP

MDL offers three MDL Membership plans: Evolve, Elevate, and Elite. Each plan includes a defined set of benefits as described on our website and in any membership materials provided to you at the time of joining. The specific features of each plan are incorporated into these Terms by reference. You will select your membership plan at the point of sign-up. The benefits, pricing, and conditions applicable to your selected plan will apply from the start of your membership.

MDL reserves the right to amend, update, or introduce membership features from time to time. Where a change materially reduces the benefits of your membership, we will provide reasonable advance notice. Continued membership following such notice constitutes acceptance of the updated benefits.

 

3. FEES AND PAYMENT

Membership requires two types of payment: a one-time joining fee of $1,950, payable at the point of sign-up; and a recurring subscription fee based on your selected plan and payment schedule.

Monthly subscription fees are as follows:

• Evolve: $500/month
• Elevate: $750/month
• Elite: $1,750/month

Monthly subscriptions operate on a rolling basis and renew automatically on the same date each month unless cancelled in accordance with Section 6. Monthly fees are non-refundable once charged. No payment reminders will be issued prior to monthly renewal. It is your responsibility to manage your payment method and ensure sufficient funds are available.

Members may elect to pay annually in advance. Annual pricing is as follows:

• Evolve: $5,500/year (equivalent to 11 months - one month free)
• Elevate: $8,250/year (equivalent to 11 months - one month free)
• Elite: $19,250/year (equivalent to 11 months - one month free)

Annual memberships renew automatically at the end of each membership year. You will receive a payment reminder by email five (5) days before your annual renewal date. Annual payments are non-refundable. No refund or credit will be issued for early cancellation of an annual membership. Access will remain active until the end of the paid membership year.

The one-time joining fee is non-refundable. This fee covers your personalized Leadership Toolbox, your Leadership Library account set-up, your initial 1:1 virtual Onboarding Session, and your first leadership assessment and applicable profile(s).

If a payment fails, MDL will retry the transaction for up to seven (7) days from the original due date. You will receive an email notification of the failed payment with the option to update your payment details. If payment is not successfully received within seven (7) days, access to your membership benefits may be suspended until the outstanding amount is settled. Suspension does not cancel your membership or waive any outstanding fees. If you are experiencing financial difficulty, please contact us at [email protected].

All fees are charged in US dollars (USD) unless otherwise agreed in writing.

MDL offers a discount for qualifying non-profit organizations. If you believe your organization may be eligible, please contact us at [email protected] to discuss your circumstances. Non-profit pricing is subject to separate terms agreed at the time of application.

 

4. UPGRADES AND DOWNGRADES

You may upgrade your membership plan at any time. Instructions on how to do so can be found in your Leadership Library account created on sign-up, or you can contact us at [email protected]. Upon payment, your upgraded benefits will take effect immediately and will not be backdated. Where upgraded benefits require manual set-up, MDL will endeavor to action these as soon as possible.

Plan downgrades require 30 days' written notice submitted to [email protected] and will take effect at the start of the billing cycle following the expiry of that notice period. Benefits associated with your current plan will remain active until the downgrade takes effect.

 

5. REFERRAL PROGRAM

Active members may refer individuals to MDL's membership program. To qualify for a referral bonus, the referred individual must notify MDL at the point of joining that they were referred by you, and their membership must remain active for a minimum of three months from their start date. For monthly members, this means through to and including their fourth monthly payment. For annual members, this means remaining an active member through to the end of their third month.

Where the conditions above are met, MDL will contact you following the referred member's third month to coordinate your referral bonus. You will be offered one of the following options:

• Monthly members: One month's subscription fee waived on your next billing cycle;
• Annual members: A one-month extension added to your membership before your next renewal date; or
• Charitable donation: An equivalent contribution donated to a charity of your choice on your behalf, in lieu of the personal benefit above.

Referral bonuses are non-transferable and have no cash value. MDL reserves the right to withdraw or amend the referral program at any time, provided that any bonus already earned at the point of amendment will be honored. Only one referral bonus will be awarded per qualifying referral. Self-referrals are not permitted.

 

6. CANCELLATION

Monthly members may cancel their membership at any time by providing 30 days' written notice to [email protected]. Access to membership benefits will remain active until the end of the current billing period following the expiry of the notice period. No refund will be issued for any portion of a billing period already charged.

Annual memberships are non-refundable. If you choose to cancel an annual membership, your access will remain active until the end of the paid membership year. No refund, pro-rata credit, or partial reimbursement will be provided.

Upon cancellation, access to all membership benefits - including the Leadership Library, live Masterclasses, coaching sessions and their recordings, the private MDL Community, and all associated platforms - will cease at the end of your final active membership period.

 

7. LEADERSHIP ASSESSMENTS

Each membership plan includes an annual Leadership Assessment, which forms the basis of your Leadership Leverage Profile. The cost of your first assessment and profile(s) is covered by your one-time joining fee. All subsequent annual assessments are included in your recurring membership fee at no additional charge.

If you have completed an MDL Leadership Assessment and received a Leadership Leverage Profile within the nine (9) months immediately prior to your membership start date, that assessment may be used as your initial membership assessment. In this case, you will receive a discount code to reduce your one-time joining fee accordingly. If your most recent MDL assessment was completed more than nine (9) months before your membership start date, a new assessment will be required upon joining and no discount will apply.

Following your first membership assessment, each subsequent annual assessment should be completed on or as close as possible to the anniversary of that first assessment. You will be prompted by Client Support when your next assessment is due.

 

8. COACHING SESSIONS

All coaching sessions are delivered virtually via Zoom unless otherwise agreed in writing. Members are responsible for ensuring they have the necessary technology, internet connection, and a suitable environment to participate. Where a session cannot proceed due to technical difficulties or connectivity issues on the Member's side, MDL will use its discretion to determine whether the session may be rescheduled. Such rescheduling is not guaranteed.

Coaching sessions will be recorded by default and uploaded to your Leadership Library account for your personal reference only. If you would prefer a session not to be recorded, please notify your coach before the session begins. Recordings are accessible only while your membership is active and will no longer be available following cancellation or termination.

Sessions must be rescheduled at least 24 hours in advance of the original scheduled start time. Requests to reschedule with less than 24 hours' notice, or failure to attend without notice, will result in the session being forfeited. Unused coaching sessions do not roll over to future billing periods and are forfeited without refund or credit. Where a session was unused due to circumstances within MDL's control - such as coach unavailability - MDL will reschedule or carry the session over to the following billing period.

Each member is assigned a dedicated Leadership Coach based on their membership plan and development needs. In certain situations, two coaches may be assigned to support your development. While MDL prioritizes continuity of coaching relationships, coach assignments are subject to availability and operational requirements. In the event that your assigned coach becomes unavailable, MDL will assign a replacement coach of equivalent expertise. Requests for a specific coach, or requests to change coach, may be accommodated subject to availability but cannot be guaranteed.

Members of all plans may purchase additional 1:1 coaching sessions at the preferred member rate via their Leadership Library account. Additional sessions are subject to coach availability and must be scheduled in advance.

MDL operates planned closure periods, including public holidays and scheduled business breaks. During these periods, coaching sessions will not be held. Closure dates will be communicated to members in advance. Membership fees continue as normal during closure periods and are not reduced, paused, or refunded on account of planned closures. As a result of planned closures, members on weekly coaching (Elite plan) should expect approximately 48 coaching sessions per membership year rather than 52. This is an estimate based on a typical calendar year and may vary. The exact number of sessions available in any given year will be confirmed in advance.

 

9. MASTERCLASSES

Bi-weekly live virtual Leadership Masterclasses are delivered via Zoom on a fixed schedule. Scheduled dates will be communicated to members in advance.

Recordings of all Masterclasses are made available to active members via the Leadership Library. Upon joining, new members will have immediate access to all recordings from the current membership year to date, as well as the full archive of recordings from the previous year. Recordings are accessible only while your membership is active and will no longer be available following cancellation or termination. Certain interactive elements of Masterclasses are only available to members attending live. Recordings do not replicate the full live experience.

MDL operates planned closure periods during which live Masterclasses will not be held. Closure dates will be communicated to members in advance. Membership fees continue as normal during closure periods and are not reduced, paused, or refunded on account of planned closures.

 

10. THE WORKBOOK JOURNALING JOURNEY

As part of your membership, you will receive one guided leadership workbook journal every 90 days. The full workbook journaling journey comprises eight workbook journals (Tabula I through Tabula VIII), spanning 720 days of structured leadership development. Workbook journals are delivered automatically to your registered delivery address unless a delay has been requested in accordance with this section.

Workbook journals are shipped via FedEx using standard shipping (expedited shipping is not available) to all countries and regions served by FedEx's international network. Standard shipping costs are included in your membership fee. MDL is not responsible for delays, losses, or customs charges arising from circumstances outside its control, including carrier delays, customs processing, or incorrect delivery information provided by the Member. It is your responsibility to ensure your delivery address is accurate and kept up to date. If a workbook journal shipment is missing or has not arrived within a reasonable timeframe, please contact us at [email protected] and we will investigate with FedEx on your behalf. MDL will use reasonable endeavors to resolve shipment disputes but cannot guarantee outcomes that are dependent on third-party carriers. Please note that a digital version of the guided workbook journals is not currently available. MDL intends to introduce a digital version in the future and members will be notified when this becomes available.

Members will receive an email notification approximately 7 days before their next scheduled dispatch date. If you wish to delay a shipment, you must notify MDL by completing the form provided in that email. Delivery delays do not pause, reduce, or adjust your membership fees, which continue regardless of workbook journal pacing.

Upon completing 720 days of the workbook journaling journey (Tabula I through Tabula VIII), you will be recognized as a Legacy Leader. Legacy Leader status includes:

• The option to restart the workbook journaling journey from Tabula I;
• Exclusive gifts and VIP membership perks;
• A discounted rate to attend the Annual Leadership Retreat, along with a priority invitation;
• A complimentary private coaching session with MDL Founder Antonio Garrido;
• Free access to quarterly Leadership Masterminds for one year; and
• The opportunity to present at a Leadership Mastermind and share your leadership journey with the community.

Legacy Leader benefits are subject to change and are provided at MDL's discretion.

 

11. LEADERSHIP LIBRARY AND PLATFORM ACCESS

Active membership includes access to the following platforms and resources:

• The Leadership Library (accessible via app and web);
• Live and recorded Masterclasses;
• Recordings of your 1:1 coaching sessions;
• Daily Leadership Audios;
• Five Levers of Leadership™ Development Guides;
• Curated Business and Leadership Book Briefings;
• Advancing Intelligence AI-powered leadership tools (where applicable and available); and
• The private MDL Membership Community.

Certain resources are available to specific plans only, as set out in the membership plan descriptions on our website. Access to all platforms and resources is conditional on your membership being current and all fees being up to date. MDL does not guarantee uninterrupted access to any platform and accepts no liability for temporary outages, scheduled maintenance, or third-party service disruptions.

All membership content - including recordings, guides, workbook journals, assessments, and any other materials provided through the membership - is licensed to you for your personal use only. You may not reproduce, distribute, share, sell, or otherwise exploit any membership content outside of your personal development, except where MDL expressly permits otherwise. Your login credentials are personal to you and must not be shared with any other person. MDL reserves the right to suspend access where shared login use is identified.

 

12. CLIENT CONCIERGE SUPPORT

All membership plans include access to a dedicated Client Concierge. Your Concierge is available to assist you with all aspects of your membership, including onboarding, session scheduling, account queries, billing questions, and general support throughout your membership journey. MDL aims to ensure your Concierge is always on hand to guide you through every stage of your membership.

 

13. PRIVATE MDL COMMUNITY

Access to the private MDL Membership Community is hosted within the My Daily Leadership Leadership Library (accessible via web and app) and is included in all membership plans. Participation in the private MDL Community is subject to separate Community Guidelines, which you will be asked to read and agree to upon joining the community. The Community Guidelines do not form part of these Terms but must be complied with as a condition of community access. MDL reserves the right to suspend or remove community access for any member who breaches the Community Guidelines.

The MDL Community may include spaces where members share information, opinions, experiences, and other content ("Member Content"). MDL does not create, control, verify, or endorse any Member Content. While MDL aims to maintain a respectful and constructive environment, we make no representations about the accuracy, reliability, or completeness of any Member Content. Member Content does not constitute professional advice of any kind. You should not rely on Member Content as a substitute for advice from a qualified professional. You are solely responsible for how you use or rely on Member Content, and you do so at your own risk. MDL reserves the right, but is not obligated, to monitor, edit, or remove any Member Content that it believes violates these Terms, the Community Guidelines, or is otherwise harmful.

 

14. LEADERSHIP RETREAT

Elite members will receive a priority invitation to the Annual Leadership Retreat. This invitation constitutes early bird and priority access - the retreat is also open to other attendees outside the Elite plan. Invitations require a confirmed RSVP by the date specified. The cost of attending the retreat - including travel, accommodation, and any associated expenses - is not included in the membership fee and is the Member's sole responsibility. MDL reserves the right to modify, postpone, or cancel the retreat and will provide reasonable notice where possible.

 

15. ADVANCING INTELLIGENCE - AI-POWERED LEADERSHIP TOOLS

The Advancing Intelligence suite of AI-powered leadership tools is available to access via the Leadership Library platform to applicable plans. These tools are designed to support your development and are subject to their own usage guidelines communicated within the platform. AI-generated outputs are intended to support, not replace, professional coaching, assessment, or development advice. MDL cannot guarantee the accuracy or suitability of any AI-generated output, and all such outputs should be used at your own discretion. MDL does not warrant that AI tools will be error-free, uninterrupted, or suitable for any specific purpose. Outputs generated by AI tools should be treated as supportive guidance only.

MDL uses artificial intelligence tools in its internal business operations to support the delivery and improvement of membership services. By accepting these Terms, you acknowledge and consent to MDL's use of AI in its operational processes.

 

16. INTELLECTUAL PROPERTY

All content, materials, frameworks, tools, methodologies, and resources provided as part of your membership - including but not limited to the Five Levers of Leadership™ framework, guided workbook journals, books, assessments, assessment profiles, Masterclass recordings, Leadership Library content, and Advancing Intelligence tools - are the intellectual property of My Daily Leadership Ltd or its licensors. All rights are reserved.

MDL grants you a limited, non-exclusive, non-transferable, revocable license to access and use membership content solely for your personal leadership development during the period of your active membership. This license does not permit you to copy, reproduce, modify, distribute, publish, or create derivative works from any membership content. Upon cancellation or termination of your membership for any reason, your license to access and use membership content ceases at the end of your final active membership period.

 

17. CONFIDENTIALITY

In the course of your membership - particularly during coaching sessions, Masterclasses, and community participation - you may have access to information shared by other members. You agree to treat all such information as confidential and not to disclose, share, or use the personal, professional, or business information of other members outside of the membership context.

MDL will treat information you share in coaching sessions and assessments with care and discretion. MDL's coaching practitioners adhere to the ethical standards set out by the Association for Coaching. Please refer to our Privacy Policy for full details of how your personal data is collected, used, and stored.

 

18. DATA AND PRIVACY

Your personal data is collected and processed in accordance with MDL's Privacy Policy, which is available on our website and incorporated into these Terms by reference. By joining the membership, you consent to MDL processing your personal data as described in the Privacy Policy. MDL complies with applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

 

19. INTERNATIONAL MEMBERS

MDL welcomes members from all over the world. These Terms are governed by the laws of England and Wales regardless of where you are located. Members outside the United Kingdom are responsible for ensuring that their use of the membership complies with all applicable laws and regulations in their own jurisdiction. MDL makes no representation that the membership or its content is appropriate or available in all locations.

 

20. DISCLAIMER

MDL is committed to providing a high-quality leadership development experience. However, membership outcomes depend on the effort, engagement, and application of each individual member. MDL DOES NOT GUARANTEE ANY SPECIFIC BUSINESS, FINANCIAL, PROFESSIONAL, OR PERSONAL OUTCOMES AS A RESULT OF MEMBERSHIP. ALL CONTENT, COACHING, ASSESSMENTS, AND RESOURCES ARE PROVIDED FOR EDUCATIONAL AND DEVELOPMENTAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL BUSINESS, FINANCIAL, LEGAL, OR PSYCHOLOGICAL ADVICE.

 

21. LIMITATIONS OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MDL'S TOTAL LIABILITY TO YOU IN CONNECTION WITH YOUR MEMBERSHIP SHALL NOT EXCEED THE TOTAL MEMBERSHIP FEES PAID BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. MDL SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR SPECIAL LOSSES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF REVENUE, LOSS OF DATA, OR REPUTATIONAL DAMAGE, WHETHER ARISING IN CONTRACT, TORT, OR OTHERWISE, EVEN IF MDL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES.

Nothing in these Terms limits or excludes MDL's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

 

22. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless My Daily Leadership Ltd and its directors, officers, employees, coaches, and agents from and against any and all claims, demands, proceedings, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (1) your use of the membership in violation of any applicable law or regulation; (2) any claim that your use of the membership infringes, misappropriates, or otherwise violates the rights of any third party; or (3) your breach of these Terms. MDL reserves the right to assume control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate with MDL's defense of such claim.

 

23. FORCE MAJEURE

MDL shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond MDL's reasonable control, including but not limited to acts of God, pandemic, epidemic, war, civil unrest, government action, natural disaster, fire, flood, power outage, or failure of third-party infrastructure or platforms. In such circumstances, MDL will use reasonable endeavors to resume normal service as soon as practicable and will communicate with members accordingly.

 

24. TERMINATION BY MDL

MDL reserves the right to suspend or terminate your membership with immediate effect if: (1) you breach any provision of these Terms and fail to remedy that breach within 14 days of written notice; (2) you engage in conduct that MDL reasonably considers harmful, abusive, or damaging to other members, MDL staff, or the MDL brand; (3) you breach the Community Guidelines (where applicable); or (4) any fees remain outstanding beyond the period set out in Section 3. In the event of termination by MDL for cause, no refund of fees already paid will be provided. MDL will act reasonably in exercising its right to terminate and will provide written notice where circumstances permit.

 

25. APPEALS

If your membership is suspended or terminated by MDL, you may appeal the decision by contacting us at [email protected] within 30 days of receiving notice of the suspension or termination. Your appeal must include your full name, membership details, and a clear explanation of why you believe the decision was made in error. MDL will review your appeal and notify you of its decision, which shall be final. MDL is under no obligation to reinstate any membership.

 

26. WAIVER

MDL's failure at any time to require performance of any provision of these Terms, or to exercise any right provided for herein, will not be deemed a waiver of that provision or right. Any waiver by MDL must be made in writing. A waiver of any breach of any provision of these Terms will not be construed as a waiver of any continuing or subsequent breach of that provision, or as a waiver of the provision itself.

 

27. SEVERABILITY

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it will be severed from these Terms. The remaining provisions of these Terms will continue in full force and effect.

 

28. ENTIRE AGREEMENT

These Terms, together with MDL's Privacy Policy and any supplemental terms referenced or linked to herein, constitute the entire agreement between you and MDL with respect to your membership and supersede all prior communications, negotiations, and agreements, whether oral, written, or electronic, relating to your membership.

 

29. MOBILE APPLICATION TERMS

The MDL Leadership Library is available as a mobile application ("App") on the Apple App Store and Google Play Store. The following additional terms apply to your use of the App.

If you downloaded the App from the Apple App Store, the following terms apply: (1) these Terms are between you and MDL only, and Apple is not a party to these Terms and has no obligation or liability in connection with the App or your use of it; (2) the license granted to you for the App is a limited, non-transferable, revocable license to use the App on an Apple device that you own or control, as permitted by the Apple App Store terms; (3) MDL, not Apple, is solely responsible for providing maintenance and support services in respect of the App; (4) in the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price of the App to you (if any) - to the maximum extent permitted by applicable law, Apple has no other warranty obligation in respect of the App; (5) MDL, not Apple, is responsible for addressing any claims relating to the App, including product liability claims, consumer protection claims, or claims that the App fails to conform to any applicable legal or regulatory requirement; (6) in the event of any third-party claim that the App or your use of it infringes that third party's intellectual property rights, MDL, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of such claim; (7) you represent and warrant that you are not located in a country subject to a US government embargo or designated as a terrorist-supporting country, and that you are not listed on any US government list of prohibited or restricted parties; and (8) Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

If you downloaded the App from the Google Play Store, MDL, not Google, is solely responsible for providing maintenance and support services in respect of the App. Google has no obligation to provide any such services. For any defects or performance issues with the App, please contact us at [email protected].

 

30. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

 

31. CHANGES TO THESE TERMS

MDL reserves the right to update these Terms from time to time. Where changes are material, we will notify you by email or through the membership platform with reasonable advance notice. Continued membership following notification of changes constitutes your acceptance of the updated Terms. The most current version of these Terms will always be available on our website.
